Terms & Conditions

Definitions

  • Agreement: The complete set of documents governing cooperation between the Client and the Company, including proposals, these Terms and Conditions, and any additional attachments or agreed materials.
  • Client Content: Any materials or data provided by the Client for use within the Project, including text, images, files, or other resources.
  • Deliverables: The specific work products or services that the Company is obligated to provide as defined in the Agreement.
  • Company Tools: All tools, software, code, frameworks, systems, templates, and technical solutions created or used by the Company, including structural elements such as layout, navigation, architecture, and functionality, regardless of whether they are subject to intellectual property protection.
  • Final Deliverables: The completed and approved version of all Deliverables provided to the Client.
  • Project: The scope of work agreed upon between the Client and the Company.
  • Services: All services provided by the Company as outlined in the Agreement or proposal.
  • Third-Party Materials: Any external assets or resources, such as stock images, plugins, or licensed materials, that are incorporated into the Project.

Development Services

The Company agrees to perform the Services in accordance with the scope, milestones, and requirements specified in the Agreement and approved proposal.

Proposal / Scope of Work

All proposals issued by the Company remain valid for a period of thirty (30) days from the date they are provided to the Client. If the proposal is not accepted within this timeframe, the Company reserves the right to revise its terms and submit an updated version for approval.

Compensation

  • Additional Costs: Costs related to third-party services, including hosting, licensing, or external tools, are not included in development fees and will be billed separately where applicable.
  • Expenses: Any project-related expenses approved by the Client will be charged at their actual cost.
  • Fees: The Client agrees to pay all agreed fees, including any applicable taxes, according to the payment structure defined in the Project plan.

Payment

  • Invoices: All invoices are payable within five (5) days of issuance unless otherwise agreed. Additional costs and expenses will be listed separately.
  • Payment Schedule: Payments must follow the schedule outlined in the Project milestones or Agreement.

Changes to Project Scope

  • Change Requests: Any request to modify the scope of work must be submitted in writing. The Company will review the request and respond within five (5) business days, outlining any impact on pricing, timelines, or deliverables.
  • Minor Changes: Adjustments that represent less than twenty percent (20%) of the total Project cost, or are considered minor by the Company, will be billed at standard hourly rates. These changes may also affect the delivery schedule. Previously agreed cost limits do not apply to such additional work.
  • Major Changes: Changes exceeding twenty percent (20%) of the Project cost, or otherwise considered substantial, will require a revised or separate proposal. Work related to such changes will not begin until the new proposal is approved.
  • Acceptance of Proposals: The Client must approve any proposal within fourteen (14) business days. If approval is not received within this period, the Company is not obligated to proceed with additional work.

Delays

  • Client Delays: The Client is responsible for providing required materials, approvals, and information in a timely manner. Any delay on the Client’s side may result in corresponding extensions to the Project timeline.
  • Company Delays: If delays occur due to internal factors, the Company will inform the Client promptly.
  • External Delays: Delays caused by factors beyond the control of either party, including but not limited to natural disasters, government actions, labor disputes, or other force majeure events, will not be considered a breach of the Agreement. Project timelines will be adjusted accordingly.

Evaluation and Acceptance

  • Testing: The Company will conduct reasonable testing procedures to ensure that Deliverables meet expected standards before submission.
  • Approval Periods: The Client has seven (7) business days to review and either approve or reject Deliverables. Any rejection must include clear written feedback. The Company will have fourteen (14) business days to address any issues. After revisions, the Client will have an additional seven (7) days to review the updated Deliverables.

Client Responsibilities

The Client agrees to act in a timely and reasonable manner throughout the Project, including:

  • Providing content that is ready for use without requiring additional processing unless otherwise agreed
  • Ensuring all submitted materials are accurate and properly reviewed
  • Covering any additional costs for corrections required due to errors in provided content
  • Making timely decisions regarding third-party services or approvals

Accreditation and Promotion

  • Accreditation: The Company reserves the right to include a credit link on project outputs unless otherwise agreed in writing.
  • Promotion: The Company may use completed work for portfolio, marketing, or professional purposes.
  • Approval: Neither party shall unreasonably refuse permission to reference their involvement in a Project. Where applicable, links to the respective websites may be included.

Confidential Information

Any information identified as confidential by either party must be treated as such and not disclosed to third parties without prior consent.

This obligation does not apply to information that is publicly available, already known to the receiving party, or obtained from a third party without restriction.

Relationships

  • Use of Contractors: The Company may engage third-party contractors to fulfill its obligations while remaining responsible for the final Deliverables.
  • Non-Exclusivity: Neither party is restricted from working with other parties during or after the Project.
  • Independent Contractor: The Company operates as an independent contractor. Nothing in this Agreement establishes employment, partnership, or agency relationships. Work performed is not considered “work for hire” unless explicitly agreed otherwise.

Liability

Services are provided on an “as available” basis. The Company is not responsible for indirect, incidental, or consequential damages.

To the maximum extent permitted by law, the Company’s total liability shall not exceed the amount paid by the Client for the relevant Services.

Rights for Work Produced

  • License: Upon full payment, the Client is granted a non-exclusive, perpetual, worldwide license to use the Deliverables in their agreed form.
  • The Client may not modify, extract, or create derivative works from the Deliverables without prior written consent from the Company.

Support Services

Warranty: The Company may provide reasonable support services for maintenance or updates. Such services are billed at standard rates unless included in the Agreement.

If Deliverables are modified by third parties, the Company is no longer responsible for their performance or maintenance.

Amendments

The Company reserves the right to update these Terms and Conditions at any time. Continued use of the website or services constitutes acceptance of the updated Terms.
